Proposed Bylaw Amendment

TCEC Board of Trustees is proposing changes to Article III  and Article IV of the TCEC Bylaws that would amend the current process for a qualified person to run for the TCEC Board of Trustees and the process to vote for a TCEC Board representative. This Bylaw change will be voted on by all TCEC Members in attendance at the 2018 Annual Meeting, September 15th, 2018. The proposed changes would affect the Nomination and Election process of TCEC Board Members as summarized below:

 

How to become a TCEC Board Member     Proposal

1. Submit intent to run 21 days prior to District Meeting and be approved as a nominee

2. Attend your District Meeting

3. Insure a quorum (15 members) are present

4. Be nominated from the floor by a TCEC member residing in said district

5. Receive enough votes to be 1 of 2 “Official Candidates” listed on the ballot at Annual Meeting

6. Submit intent to run, 15 days prior to Annual Meeting, and be nominated from the floor as a ‘write in candidate’ on the ballot at Annual Meeting

7. Attend Annual Meeting

8. Receive the majority of votes from members in your district at the Annual Meeting

 

1. Submit intent to run 21 days prior to District Meeting and be approved as a candidate.

2. Attend your District Meeting

3. Insure a quorum (15 members) are present, all votes collected during district voting hours will be counted towards quorum

4. Receive the majority of votes from members in your district at the District Meeting

 

If the quorum is not met at the District Meeting, elections for the Board Member for the district will take place at Annual Meeting.

 

How to elect your TCEC Board Member     Proposal

1. Attend your District Meeting

2. Vote for the approved nominee of your choice to be listed as an “Official Candidate” on the ballot at Annual Meeting

3. Attend Annual Meeting

4. Vote for the “Official Candidate” of your choice or for a ‘write in candidate’ approved 15 days  prior to Annual Meeting and nominated from the floor at  Annual Meeting

 

1. Vote for the approved  candidate of your choice during district voting hours on the day of your District Meeting

2. Candidate with the majority of district member votes at the District Meeting will be announced as Board Member

 

Voting Hours?

The proposed change to the Bylaws includes the implementation of Voting Hours, giving members the option to vote 1-2 hours prior to the start time of the District Meeting. Members voting during voting hours will count towards the meeting quorum.
